General Terms and Conditions of Sale, Installation, and Warranty

Auton


These Terms and Conditions apply to all purchases of products, requests for services, installation and maintenance works, technical visits, and quotations issued by Auton, whether made through the online store, quotations, purchase orders, invoices, or direct sales channels.


By completing an order, paying all or part of its value, issuing a purchase order, receiving the product, or allowing the commencement of a service, the Customer expressly agrees to and is bound by these Terms and Conditions.

1. DEFINITIONS


For the purposes of these Terms and Conditions, the following terms shall have the meanings set out below:


Auton: Auton AZZAM AL-DOURAN, hereinafter referred to as “Auton” or the “Company.”


Customer: Any natural or legal person, including individuals, companies, establishments, and entities, that purchases a Product or requests a Service from Auton.


Product: Any electric vehicle charger, adapter, cable, accessory, device, equipment, or part sold or supplied by Auton.


Service: All installation works, technical visits, inspections, programming, commissioning, testing, maintenance, electrical works, or field works provided by Auton.


Site: The location specified by the Customer for delivery of the Product or performance of the Service.


Additional Works: Any works, materials, extensions, or preparations not included in the basic price or quotation.

2. PRICES AND QUOTATIONS


1. All prices are subject to the terms stated in the quotation or invoice. Value Added Tax (VAT) shall be added where it is not already included in the stated price.


2. A quotation does not constitute a reservation of Products or a commitment to supply unless it has been approved and the required payment has been made in accordance with the terms of the quotation.


3. Auton reserves the right to specify the validity period of its quotations. Upon expiry of such period, Auton may revise the price based on the prices and costs applicable at that time.


4. Offers, discounts, and promotional prices are available for a limited period and are subject to the quantities, stock availability, and conditions specified for each offer.


5. Discounts, offers, or coupons may not be combined unless expressly approved by Auton.


6. Any works, materials, or services not expressly stated in the quotation shall be deemed excluded and shall be priced separately.


7. Unless expressly stated otherwise in the quotation, the price does not include any civil or construction works, modifications to the electrical infrastructure, upgrades to the capacity of the electricity meter or circuit breaker, or any works relating to the electricity utility provider.

3. PAYMENT AND CREDIT TERMS


1. Individuals: The full amount for the Product or Service shall be due before delivery or performance, unless otherwise agreed in writing by Auton.


2. Companies and Entities: Payment terms shall be governed by the quotation, agreement, or purchase order approved by Auton.


3. The issuance of a purchase order by the Customer or completion of the Customer’s internal approval procedures shall not constitute grounds for postponing payment beyond the agreed due date.


4. All amounts payable to Auton shall be paid on their respective due dates. The Customer may not suspend or delay any payment due to its own internal or administrative procedures.


5. In the event of overdue amounts, Auton shall have the right, without such action constituting a breach on its part, to suspend:

• New supplies;

• Installation works;

• Maintenance not covered by warranty;

• Additional services; and

• Any other orders or projects of the Customer.


6. The Customer may not deduct any amounts from sums payable to Auton or set off any amounts against them without Auton’s prior written approval.


7. The Customer shall bear the actual costs and legally permissible expenses incurred in collecting outstanding amounts where recourse to the competent authorities becomes necessary, to the extent permitted by applicable laws and regulations.


8. Auton reserves the right to refuse, cancel, or modify any future credit facilities granted to the Customer based on the Customer’s credit history or payment record.


9. The granting of a payment extension or facility to the Customer in any transaction shall not create an acquired right to receive the same facility in subsequent transactions.

4. OWNERSHIP OF PRODUCTS


Ownership of Products supplied to the Customer shall remain with Auton until their full value and all related amounts have been paid, to the extent permitted by applicable laws and agreements entered into between the parties.


The Customer’s receipt or installation of a Product shall not affect the Customer’s obligation to pay any outstanding amounts due to Auton.

5. ELECTRIC VEHICLE CHARGER INSTALLATION TERMS


Unless otherwise stated in the quotation, the standard installation package includes:


1. Installation of up to 4 meters for a Single-Phase system, using direct external wiring.


2. The standard installation package does not include:

• Excavation or demolition works;

• Repainting or finishing works;

• Concealed wiring;

• Wiring inside walls or ceilings;

• Civil or construction works;

• Asphalt or interlock paving works;

• Modifications to main electrical panels;

• Upgrading the capacity of the electricity meter or circuit breaker;

• Works required from the electricity utility provider; or

• Any works not expressly stated in the quotation.


3. An additional amount of 199 shall apply when implementing a Three-Phase system, unless otherwise specified in the quotation.


4. Additional meters shall be charged as follows:

79 per meter for Single-Phase installations.

99 per meter for Three-Phase installations.


5. Final measurements of cable lengths and the actual scope of work shall be determined by an Auton technician at the Site.


6. Any Additional Works identified during inspection or implementation shall be communicated to the Customer and priced separately before such works are performed.


7. Auton reserves the right to stop work upon discovering any condition that may affect safety or the quality of execution until the relevant issues have been rectified.

6. CUSTOMER OBLIGATIONS AND SITE READINESS


The Customer shall be responsible for:


1. The accuracy of all information provided to Auton regarding the Site, electricity source, and electrical capacity.


2. Obtaining the approval of the property owner, building management, or relevant authority before implementation, where required.


3. Providing a suitable, safe electricity source compatible with the requirements of the charger.


4. Providing access to the Site and any permits required for technicians and equipment.


5. Disclosing any concealed wiring, utilities, or installations that may affect implementation.


6. Rectifying any pre-existing electrical defects or violations that fall outside Auton’s scope of work.


If, upon arrival of the team, the Site is found to be unprepared or the work cannot be performed for reasons attributable to the Customer, Auton shall have the right to reschedule the appointment and may charge visit, transportation, or rescheduling fees, as applicable.

7. TECHNICAL SAFETY AND RIGHT TO REFUSE INSTALLATION


Safety shall take precedence over the execution of any order.


An Auton technician or engineer shall have the right to refuse or suspend installation if any of the following is identified:


• An unsuitable circuit breaker;

• Non-compliant wiring or electrical installations;

• Inadequate grounding;

• Electrical loads that may pose a safety risk;

• Water leakage or moisture that may affect safety;

• An unsafe installation location;

• Non-compliant electrical modifications; or

• Any condition that, in the professional judgment of the specialist, may pose a risk to persons, property, or equipment.


Auton shall not be liable for any delay resulting from the need to rectify such conditions before implementation.

8. SCHEDULES AND PERFORMANCE PERIODS


1. Delivery and installation dates are estimates unless expressly stated in writing to be binding.


2. Schedules may be affected by Product or material availability, Site conditions, permits, third parties, or circumstances beyond Auton’s control.


3. Auton shall not be responsible for delays resulting from incorrect information provided by the Customer, lack of Site readiness, unavailable permits, or delays in approvals from other parties.

9. ACCEPTANCE AND OBJECTIONS


1. The Customer’s receipt of the Product without noting any visible defect shall constitute acknowledgment that the Product was free from apparent damage at the time of delivery.


2. For installation works, the Customer shall have the right to inspect the works upon completion and request an explanation of the operating procedure.


3. Any observations relating to the execution of the works must be reported within a reasonable period after discovery, together with photographs and information necessary for Auton to verify the matter.


4. The existence of a warranty claim or technical observation shall not constitute grounds for withholding any undisputed amounts payable to Auton.

10. CANCELLATIONS AND RETURNS


Products


Products may be returned or exchanged in accordance with applicable laws and Auton’s policy, provided that:


• The Product has not been used or installed;

• The Product remains in its original condition;

• The original packaging and accessories are available; and

• The Product has not been damaged or tampered with.


Used, installed, or Customer-damaged Products shall not be accepted for return unless a defect covered by warranty has been established.


Special-Order Products


Products ordered, manufactured, or imported specifically for the Customer according to special specifications or quantities shall be subject to the terms of the quotation or special order, without prejudice to the Customer’s mandatory statutory rights.


Services


Once an installation service, technical visit, or inspection has been performed, the amount paid for the completed Service shall not be refundable.


If an appointment is cancelled after the team has departed for or arrived at the Site, Auton shall have the right to charge the cost of the visit and any related actual expenses.

11. WARRANTY


Installation Warranty


Installation works are warranted for one year from the date of installation. This warranty is limited to defects directly resulting from installation works performed by Auton.


Charger Warranty


Chargers are subject to the warranty period specified for the relevant Product or by the manufacturer, which may extend to 3 years or more for certain Products, depending on the Product and invoice.


Devices, Circuit Breakers, and Adapters


These items are subject to the warranty specified in the quotation, Product policy, or manufacturer’s warranty.

12. WARRANTY EXCLUSIONS


The warranty does not cover faults or damage resulting from:


1. Misuse or negligence.

2. Accidents or impacts.

3. Water or liquid ingress outside approved operating conditions.

4. An unstable or non-compliant electrical supply.

5. Voltage increases or decreases outside permitted limits.

6. Lightning, disasters, or external conditions.

7. Modification, disassembly, or repair by an unauthorized party.

8. Changes to electrical wiring after Auton’s installation.

9. Use of the Product contrary to the operating instructions.

10. Use of incompatible accessories or adapters.

11. Damage caused by the vehicle itself or its charging port.

12. Any defect in the Site’s electrical infrastructure that was not part of Auton’s scope of work.


Auton shall have the right to inspect the Product or Site before accepting a warranty claim.

13. WARRANTY CLAIM PROCESS


Upon submission of a warranty claim, Auton or an authorized party shall inspect the case to determine the cause of the fault.


If the fault is confirmed to be covered by warranty, the appropriate remedy—depending on the nature of the case and the Product—shall be one of the following:


Repair, replacement of the defective part, or replacement of the Product where repair is not possible, in accordance with the warranty policy and applicable laws and regulations.


Submission of a warranty claim does not constitute automatic acceptance of the claim before completion of the technical inspection.

14. THIRD-PARTY INTERVENTION


If the Customer or any electrician, contractor, technician, or other party dismantles, modifies, or alters any work performed by Auton, Auton shall not be responsible for the affected portion or for any damage resulting from such intervention.


Unauthorized intervention may result in the warranty for the affected portion becoming void where it is established that the fault or damage is related to such intervention.

15. LIMITATION OF LIABILITY


Auton shall not be responsible for damage resulting from:


• Existing electrical wiring or installations not performed by Auton;

• Hidden defects in the building or Site;

• Interruption or instability of the electricity supply;

• Modifications performed by the Customer or a third party;

• Use of the Product contrary to its instructions; or

• Failure to disclose material information concerning the Site.


In all cases, Auton’s liability shall be determined based on the proven direct damage and the agreed scope of work, without prejudice to any liability that may not be excluded or limited under the applicable laws and regulations of the Kingdom of Saudi Arabia.

16. CORPORATE ORDERS AND PURCHASE ORDERS


For corporate, institutional, and other entity Customers:


1. The purchase order, approved quotation, or contract shall constitute the commercial basis of the order.


2. The Customer shall provide billing information, VAT registration number, and required documentation before issuance of the invoice, where applicable.


3. Any change in quantities or scope of work after approval may result in the issuance of an additional quotation or change order.


4. Additional Works shall not form part of the original purchase order unless included therein or subsequently approved.


5. Payment of a due invoice may not be delayed due to the Customer’s internal approval procedures.


6. If there is a dispute regarding part of an invoice, the Customer shall pay the undisputed portion by its due date.


7. Auton shall have the right to suspend any subsequent orders or supplies to the Customer where amounts are overdue and outstanding.

17. FORCE MAJEURE


Auton shall not be liable for delays or failure to perform resulting from events reasonably beyond its control, including supply chain disruptions, supplier delays, shipping and customs delays, governmental decisions, disasters, emergency circumstances, or disruption of public utilities.


Affected obligations shall resume once the preventing circumstance ceases, where reasonably possible.

18. INTELLECTUAL PROPERTY


All trademarks, logos, designs, images, content, text, and technical and commercial materials belonging to Auton are owned by Auton or used under license.


They may not be copied, reused, published, or commercially exploited without Auton’s prior written consent.

19. ELECTRONIC NOTICES AND APPROVALS


The Customer agrees that approvals and communications made through email, text messages, WhatsApp, or electronic platforms approved by Auton shall constitute recognized means of communication and evidence of approvals, to the extent permitted by applicable laws and regulations.

20. AMENDMENTS TO THESE TERMS


Auton may update these Terms and Conditions from time to time.


The version in effect at the time the order is completed shall apply to the relevant transaction unless otherwise agreed in writing by the parties.

21. GOVERNING LAW AND JURISDICTION


These Terms and Conditions shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia.


In the event of any dispute, the parties shall first seek to resolve it amicably. If an amicable resolution cannot be reached, jurisdiction shall lie with the competent judicial authority in the Kingdom of Saudi Arabia in accordance with applicable laws and regulations.

22. ACKNOWLEDGMENT AND ACCEPTANCE


By completing the purchase, making a payment, issuing a purchase order, approving a quotation, receiving the Product, or allowing the commencement of the Service, the Customer acknowledges that the Customer has:


• Reviewed these Terms and Conditions;

• Understood the scope of the requested Product or Service;

• Reviewed the pricing terms and additional costs;

• Understood the warranty terms and exclusions;

• Agreed to the financial obligations and payment terms; and

• Agreed to these Terms and Conditions to the extent that they do not conflict with the mandatory laws and regulations of the Kingdom of Saudi Arabia.
